General Provisions

This Agreement (hereinafter referred to as the "Agreement") describes the terms and conditions under which the services of the GidExchange exchange office are provided. It constitutes an official written offer to individuals (hereinafter referred to as the "Users") to enter into an agreement for the receipt of services under the conditions outlined below. Before using the services of the GidExchange exchange office, each User is required to fully read the terms of this "Agreement for the Provision of Services by the GidExchange Exchange Office." Use of the GidExchange exchange office services is permitted only upon full acceptance by the User of all terms of this Agreement. The current version of the Agreement is available for review on the official website of the GidExchange exchange office (www.gid.exchange).

Terms and Definitions Used in the Agreement

GidExchange Service — the name and trademark of the web platform providing online electronic currency exchange services.

Service Website — www.gid.exchange

User — includes any individual seeking to use the services of the GidExchange Service and who has accepted the terms of the Agreement.

Payment System — a software solution developed by third-party organizations that provides tools for accounting of financial and/or other obligations and enables the payment for goods and services over the Internet, as well as the organization of settlements between users.

Electronic Currency — a form of monetary or other obligations between the creator of the currency and its user, expressed in digital form.

Payment/Transaction — the movement of electronic or other currency from sender to recipient.

Payment System Client — a person who has entered into an agreement with the respective payment system to obtain proprietary rights and claims measured in units approved by that payment system.

Order — an indication of the Participant's intention to use one of the services provided by the GidExchange Service, carried out by filling out an electronic form on the Service's website, in accordance with the conditions set forth in the User Agreement and the parameters specified in the Order.

Source Currency — the electronic currency that the Participant intends to exchange or sell.

Source Account — a unique identifier of the Participant's wallet or other form of account in the Payment System from which the Source Currency was sent.

Target Currency — the digital currency that the Participant receives as a result of the sale or exchange of the Source Currency.

Target Account — the number of the Participant's wallet or other form of account in the Payment System to which the Target Currency will be transferred.

Digital Currency Reserve — the available amount of a specific electronic currency at the time the Order is created on the GidExchange Service.

Currency Exchange — the process of exchanging electronic currency from one payment system to another.

Exchange Rate — the value ratio of two digital currencies during exchange.

Hacker — a person who specializes in unauthorized access to computer systems and networks for the purpose of committing illegal acts such as data theft, malware distribution, fraud, or other unlawful activities. Malicious hackers may use their skills for extortion, causing harm, unauthorized access to confidential information, and violations of cybersecurity laws.

Subject of the Agreement

3.1 The primary content of this Agreement is to provide the Participant with the opportunity to carry out digital currency exchange operations through the GidExchange Service.

Service Provision Procedure

4.1 The process of ordering services on the gid.exchange platform is carried out by the Participant by submitting an Order on the Service's website via the Internet platform.

4.2 Management of the transaction or obtaining information about its current status by the Participant is carried out through the appropriate user interface located on the Service's online portal.

4.3 The GidExchange Service executes Orders in an irrevocable manner, complying with the requirements of the respective payment systems.

4.4 GidExchange is not a party to the agreement between the Payment System and the Payment System Client and bears zero responsibility for the activities of the Payment System and its Client. The legal status, obligations, and rights of the Payment System and its Client are governed by the provisions provided by the respective Payment Systems.

4.5 The GidExchange Service does not require confirmation of the identity of the sender and recipient of the funds involved in the transaction. Moreover, it does not engage in relations between the sender and the recipient of the funds or electronic currency.

4.6 By using the GidExchange services, the Participant confirms that they have the legal right to own and dispose of the funds and digital currency involved in the transaction.

4.7 The Participant is solely responsible for determining and paying all taxes required by the tax legislation of their country of residence.

4.8 To ensure a high quality of service for Participants, GidExchange undertakes to act promptly and comply with all the conditions of this Agreement.

4.9 If the Participant wishes to cancel the transaction after payment for any reason, the refund amount will be calculated based on the current exchange rate minus 5% of the original exchange amount and taking into account all additional costs borne by the platform when making the refund (payment system fees, rate changes, etc.).

The above conditions do not apply to transactions that fail the AML (anti-money laundering) compliance check.

Warranties and Liability of the Parties

5.1 The GidExchange Service provides its services on an "as is" basis, without any guarantees or conditions. This means that the GidExchange Service does not guarantee the continuous or error-free operation of the services, nor does it guarantee that the services will meet the Participant's expectations or requirements.

5.2 The GidExchange Service makes every effort to ensure the availability and security of its services but is not responsible for delays, failures, or technical interruptions in their operation.

5.3 The Participant uses the services of the GidExchange Service at their own risk. The Service is not responsible for losses, including lost profits, that may arise as a result of using or being unable to use the services.

5.4 The GidExchange Service is not responsible for losses incurred due to unauthorized access to the Participant's accounts, including cases of hacking, phishing, or other unlawful actions by third parties.

5.5 The GidExchange Service reserves the right to refuse to carry out a transaction if it suspects fraud, money laundering, or other illegal actions.

5.6 The Participant undertakes not to use the GidExchange Service for unlawful purposes, including laundering illegally obtained funds, financing terrorism, or any other activity that violates applicable laws.

5.7 The GidExchange Service has the right to freeze the Participant’s funds for the duration of the investigation in the event of suspicion of a violation of the law or the rules of this Agreement.

AML Policy (Anti-Money Laundering)

6.1 The GidExchange Service follows an AML (anti-money laundering) policy and may require the Participant to provide documents confirming their identity, origin of funds, and other information as necessary.

6.2 In case of failure to pass the AML check, the transaction may be canceled, and the funds may be blocked until the circumstances are clarified.

6.3 The GidExchange Service reserves the right to report suspicious transactions to the relevant authorities.

Force Majeure

7.1 The Parties are released from liability for partial or complete failure to fulfill their obligations under this Agreement if such failure is the result of force majeure circumstances (natural disasters, wars, military actions, strikes, government restrictions, actions of regulatory authorities, changes in legislation, and other circumstances beyond the control of the Parties).

7.2 In the event of such circumstances, the deadline for fulfilling obligations under this Agreement shall be extended for the period during which such circumstances and their consequences are in effect.

Entry into Force and Amendment of the Agreement

8.1 This Agreement shall enter into force upon the User's acceptance of its terms and remains in effect until terminated by either Party.

8.2 The GidExchange Service reserves the right to unilaterally amend the terms of this Agreement at any time by publishing the updated version on its website.

8.3 Continued use of the Service after changes to the Agreement are made constitutes the User’s acceptance of such changes.

Final Provisions

9.1 The User confirms that they have fully read and understood the terms of this Agreement, agrees with them, and undertakes to comply with them.

9.2 All disputes arising under this Agreement shall be resolved through negotiations between the Parties. If the Parties fail to reach an agreement, the dispute shall be submitted to the competent court at the location of the GidExchange Service.

9.3 This Agreement is governed by the laws of the jurisdiction in which the GidExchange Service is registered and operates.
